Agreement to Terms

By accessing and using SmartScribe ("Service"), you accept and agree to be bound by the terms and provisions of this agreement ("Terms"). If you do not agree to abide by the above, please do not use this Service.

These Terms apply to all visitors, users, and others who access or use the Service, including our Google Drive integration features.

Description of Service

SmartScribe is an AI-powered transcription service that converts audio and video files into text, with additional features including:

• Automatic transcription of audio and video files
• AI-generated summaries and intelligent tagging
• Local file upload capabilities
• Google Drive integration for accessing your files
• TikTok integration for uploading videos to your TikTok inbox as drafts
• Secure cloud storage for your transcriptions
• Team collaboration features

User Accounts and Registration

To access certain features of the Service, you must register for an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and update your account information
• Maintain the security of your password and account
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use of your account

Google Drive Integration

Our Google Drive integration allows you to access and transcribe files from your Google Drive account. By using this feature:

• You grant us read-only access to files you explicitly select for transcription
• We will only access files you choose to transcribe - never your entire Drive
• You can revoke this access at any time through your Google Account settings
• You remain the owner of all files in your Google Drive
• You must comply with Google's Terms of Service when using this integration
• You are responsible for ensuring you have rights to transcribe the content you select

TikTok Integration

SmartScribe lets you connect your TikTok account to upload videos as drafts. By using this feature:

• You authorize SmartScribe via TikTok OAuth to access basic profile info and upload videos
• We only upload the video you explicitly choose inside SmartScribe
• Uploads are sent to your TikTok inbox as drafts for your review and final publish in TikTok
• You can disconnect TikTok at any time, which revokes access

You are responsible for ensuring you have the right to post any content you upload to TikTok.

User Content and Intellectual Property

Your Content

You retain all rights to the content you upload or access through Google Drive ("Your Content"). By using our Service, you grant us a limited license to:

• Process, transcribe, and analyze your files to provide the Service
• Store transcriptions and summaries in your account
• Display your content within the Service interface
• Make temporary copies necessary for processing and backup

Content Restrictions

You agree not to upload or transcribe content that:

• Violates any laws or regulations
• Infringes on intellectual property rights of others
• Contains malicious code or viruses
• Is defamatory, obscene, or offensive
• Violates privacy rights of individuals without consent
• Contains confidential information you're not authorized to share

Acceptable Use Policy

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree NOT to:

• Use the Service for any illegal or unauthorized purpose
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the Service or servers
• Use automated systems to access the Service without permission
• Reverse engineer, decompile, or disassemble any part of the Service
• Remove or alter any proprietary notices or labels
• Use the Service to compete with us or develop competing products

Subscription Plans and Payment

Billing

• Subscription fees are billed in advance on a monthly or annual basis
• All fees are in USD unless otherwise specified
• Payment is due immediately upon subscription or renewal
• We use third-party payment processors and do not store payment information

Refunds and Cancellation

• You may cancel your subscription at any time
• Cancellation takes effect at the end of your current billing period
• No refunds for partial months or unused portions of your subscription
• We reserve the right to change pricing with 30 days advance notice

Data Processing and Privacy

Your privacy is important to us. Our data processing practices are governed by our Privacy Policy, which is incorporated into these Terms by reference. Key points include:

• We do not use your content to train AI models
• Original files are deleted after processing
• All data is encrypted in transit and at rest
• You can delete your data at any time
• We comply with applicable data protection laws

Service Availability and Modifications

We strive to maintain high service availability but cannot guarantee uninterrupted access. We reserve the right to:

• Modify, suspend, or discontinue the Service with reasonable notice
• Perform maintenance and updates as needed
• Implement usage limits to ensure fair use
• Update these Terms with advance notice

Limitation of Liability

To the maximum extent permitted by law, SmartScribe shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation:

• Loss of profits, data, use, goodwill, or other intangible losses
• Damages resulting from unauthorized access to your account
• Interruption or cessation of transmission to or from the Service
• Bugs, viruses, or other harmful components
• Errors or inaccuracies in transcriptions

Our total liability shall not exceed the amount you paid for the Service in the 12 months preceding the claim.

Indemnification

You agree to indemnify and hold harmless SmartScribe from any claims, damages, or expenses arising from your use of the Service, violation of these Terms, or infringement of any rights of another party.

Termination

Either party may terminate this agreement at any time. Upon termination:

• Your right to use the Service will cease immediately
• We may delete your account and content after a reasonable grace period
• You remain responsible for any outstanding fees
• Provisions that should survive termination will remain in effect

Governing Law and Disputes

These Terms are governed by the laws of Indonesia. Any disputes will be resolved through binding arbitration in Surabaya, East Java, Indonesia, except for claims that may be brought in small claims court.
